4. SWEEPSTAKES DRAWING:

Winners will be selected as follows:

• Purchase Entries with Tiny-Laptop:
• Up to three (3) winners will be selected from eligible Purchase Entries where the Tiny-Laptop was found and all required steps outlined in the How to Enter section were completed.
• Entries will be subject to verification of eligibility and compliance with the Official Rules.

• Website Entries and Purchase Entries Without Tiny-Laptop:
• Up to three (3) winners will be randomly selected from eligible Website Entries and Purchase Entries Without Tiny-Laptop.
• Purchase Entries Without Tiny-Laptop must satisfy all entry requirements to qualify for the drawing.
• Website Entries are limited to the first one hundred (100) eligible entries, while Purchase Entries Without Tiny-Laptop are limited to product availability on www.UrbanOutfitters.com, one hundred (100) units.

All potential winners are subject to verification before any prize will be awarded. Entrant must complete all required information to be eligible to enter. No copies, facsimiles, or mechanical reproductions of the Entry Form will be accepted.

If any of the physical Tiny-Laptops are not claimed in accordance with the requirements set forth in these Official Rules during the Sweepstakes Period, such unclaimed physical prizes will be deemed invalid and forfeited. At Sponsor's sole discretion, any forfeited prizes may be reallocated to the main drawing and awarded to eligible entrants from the combined pool of Online Entries and Purchase Entries Without Tiny-Laptop, subject to the eligibility requirements outlined herein. Sponsor reserves the right to modify the drawing procedure for reallocated prizes to ensure fairness and compliance with these Official Rules.

5. WINNER NOTIFICATION AND PRIZE OBLIGATIONS:

Potential winners will be notified via the email address provided at the time of entry or via direct message on Instagram or TikTok if the winning entry was submitted through a social media post. Notifications for potential winners are scheduled to occur between December 20–25, 2024, will be sent within five (5) business days of the drawing.

Potential winners must respond to the notification within forty-eight (48) hours, confirming their acceptance of the prize and completing any required documentation. Failure to respond within this time frame, failure to meet eligibility or entry requirements, or inability to verify eligibility will result in disqualification, and an alternate winner may be selected at the Sponsor’s sole discretion. Notifications for alternate winners, if applicable, will follow the same procedures and timelines.

Obligations of the Potential Winner:
Potential winners may be required to complete, sign, and return an affidavit of eligibility, a liability release, and, unless prohibited by law, a publicity release within forty-eight (48) hours of prize acceptance.

If requested by the Sponsor, potential winners may also be required to submit to a confidential background check. The background check may include (but is not limited to) criminal, sexual offenses, or other arrest/conviction records and any other factors deemed relevant by the Sponsor to ensure the winner does not bring the Sponsor into public disrepute or reflect unfavorably on the Sponsor.

Noncompliance with any requirements, including failure to pass a background check (if applicable), will result in disqualification and the prize being awarded to an alternate winner (time permitting).

Verification:
All winners are subject to verification of eligibility and compliance with these Official Rules. A winner will not be considered official until verification is complete, including verification that the winner is at least eighteen (18) years of age or older.

If eligibility cannot be verified, the winner will be disqualified, and an alternate winner may be selected (time permitting).

Additional Notes:
Any prize notification or prize returned as undeliverable will result in disqualification and the awarding of that prize to an alternate winner (time permitting).

The Released Parties (as defined in Rule 9) are not responsible for interrupted or discontinued Internet, wireless, or landline service, or changes in contact information, which may result in a winner not receiving notification or prize information.

6. PRIZE DETAILS

Prizes or Rewards:
Up to six (6) winners will each receive a Baude NY Gift Card valued at $250, valid only for use on https://baudeny.com, and a Secret Gift Box containing products valued up to $50. The total approximate retail value ("ARV") per prize is $300. Gift cards are only valid up to one (1) year from issuance date. The Secret Gift Box may include, but is not limited to, beauty products, home goods, toys, and/or accessories. Actual contents of the Secret Gift Box may vary.

Prize Restrictions:
Limit one (1) prize per person. Prizes are non-transferable and cannot be substituted, assigned, or redeemed for cash, except at the sole discretion of the Sponsor. If any advertised prize becomes unavailable, the Sponsor reserves the right to substitute a prize of equal or greater value. Gift Cards are valid only on https://baudeny.com and are subject to the terms and conditions stated thereon. Once shipped, the Sponsor is not responsible for any loss, theft, or damage to the prize.

Taxes and Costs:
Winners are solely responsible for any and all applicable federal, state, and local taxes, including income and sales taxes, as well as any fees, expenses, service charges, or other costs associated with the acceptance and use of the prizes that are not specifically stated herein.

General Prize Terms:
The Sponsor makes no warranty, guaranty, or representation of any kind concerning the prizes or any portion thereof and expressly disclaims any implied warranties. Prizes cannot be used in conjunction with any other promotion or offer. Only the number of prizes stated in these Official Rules will be awarded. If, for any reason, more prizes are claimed than the number set forth in these Official Rules, an alternate winner will be selected in accordance with the winner selection method described above from among all eligible claimants making valid claims, to award the advertised number of prizes.

7. Limitations of Liability and Release

By participating in this Sweepstakes, entrants agree that Baude, LLC, and their affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, marketing agencies, website providers, webmasters, and their officers, directors, employees, representatives, and agents (collectively, the “Released Parties”) have no liability for, and shall be held harmless against, any injuries, losses, or damages of any kind arising in whole or in part, directly or indirectly, from participation in the Sweepstakes or from the acceptance, possession, use, or misuse of any prize. This includes, but is not limited to, personal injuries, death, property damage, rights of publicity or privacy, defamation, copyright infringement, portrayal in a false light, or any claims based on publicity rights, invasion of privacy, or merchandise delivery, and any costs or claims based on failure to deliver a prize due to cancellations, delays, or interruptions beyond the Sponsor’s reasonable control, including acts of God, natural disasters, war, weather, or terrorism.

The Released Parties are not responsible for any lost, late, incomplete, corrupted, misdirected, illegible, unintelligible, or undelivered entries or communications, or for any lost, interrupted, or unavailable satellite, network, server, Internet Service Provider (ISP), website, or other connections, or for miscommunications, failed transmissions, technical malfunctions, or jumbled, scrambled, delayed, or misdirected transmissions. Any use of robotic, macro, automatic, programmed, or like entry methods will void all such entries, and may subject that entrant to disqualification. Released Parties are also not responsible for damage to participants' or any other person’s computer or device resulting from participation in this Sweepstakes or from downloading materials from any associated website. If any portion of the Sweepstakes is compromised, in Sponsor’s sole opinion, by causes such as virus, worms, bugs, unauthorized human intervention, technical failures, or other factors beyond Sponsor’s reasonable control, Sponsor reserves the right to suspend, modify, or terminate the Sweepstakes and, if feasible, select winners from valid entries received prior to the action taken. In the event of a dispute regarding the identity of an entrant, the authorized account holder of the email address, social media account, or other account used to enter will be deemed the entrant. The authorized account holder is the natural person assigned the email address or account by the ISP or other organization responsible for assigning it. All entries become the property of Baude, LLC, and will not be returned.

Some jurisdictions may not allow limitations or exclusions of liability for incidental, consequential, or other damages; therefore, these limitations or exclusions may not apply in their entirety to all entrants. In such cases, these limitations or exclusions shall apply to the fullest extent permitted by the laws of the United States and the District of Columbia.

8. Publicity and Copyright License

Except where prohibited by law, participation in the Sweepstakes constitutes each entrant’s permission for Sponsor and the Released Parties to use their entry, name, voice, biographical information, likeness, opinions, and any prize-related information for advertising, trade, and promotional purposes, including on the World Wide Web, in any media now known or hereafter developed, worldwide, without additional compensation, notice, review, or approval. Acceptance of the prize constitutes the winner’s grant to Sponsor of permission to use their likeness, as described, and to confirm such permission in writing upon request.

By submitting an entry, each entrant grants Sponsor an exclusive, worldwide, perpetual, irrevocable, unrestricted, royalty-free, sub-licensable, and transferrable license to use, reproduce, display, modify, adapt, publish, distribute, create derivative works of, and otherwise exploit their entry in any and all media now known or hereafter developed, for any purpose, including commercial use, without compensation, permission, or further notification to the entrant or any third party. This license extends to Sponsor’s right to sublicense, assign, or transfer such rights, as well as to alter, amend, broadcast, edit, publish, merchandise, and otherwise adapt the entry. Entrants agree to waive any moral rights they may have to the entry, including rights to notice, attribution, or approval, and hereby acknowledge that the entry is non-confidential and non-proprietary.

Entrants further agree that Sponsor’s use of the entry will be without any claim for compensation or credit, and waive any claims to the “Moral Right,” “Droit Moral,” or similar rights. Entrants also agree to indemnify and hold harmless the Released Parties from any damages, costs, judgments, or expenses (including reasonable attorney fees) incurred as a result of the entry, including any third-party claims arising from Sponsor’s use of the entry. If Sponsor elects to use the entry for any purpose, entrants agree to execute any documents requested by Sponsor regarding this license and assignment.

9. General Conditions

This Sweepstakes is governed by the laws of Colorado, United States. By participating, entrants fully and unconditionally agree to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Sponsor reserves the right to revise and update these Official Rules at its discretion, with all changes effective immediately upon posting. Continued participation in the Sweepstakes following the posting of revised Official Rules signifies acceptance and agreement to any changes. Entrants are expected to review these Official Rules periodically so they are aware of any updates, as they are binding on all participants. Sponsor also reserves the right to cancel, suspend, or modify the Sweepstakes if any fraud, technical failure, or other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Proof of entry submission does not constitute proof of receipt by Sponsor. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Sponsor and Sponsor’s agents, affiliates, subsidiaries, representatives, or service providers may use entrants’ and/or referrals’ personal information submitted with entry for purposes of prize fulfillment and/or for future marketing by Sponsor, such as to notify them of a product or promotion that Sponsor believes may be of interest. Sponsor will not sell personal information submitted with entry to outside solicitors. This Sweepstakes is in no way sponsored, endorsed, or administered by Instagram. By entering, entrants are providing their information to Sponsor, not to Instagram.

Any attempt to deliberately damage any website associated with this Sweepstakes or to undermine its legitimate operation may violate criminal and civil law. Sponsor reserves the right to seek damages and pursue all available remedies against any such individual to the fullest extent permitted by law. Sponsor also reserves the right to disqualify any individual found to be tampering with the entry process, the website, or the operation of the Sweepstakes, or to be acting in an unsportsmanlike, disruptive, or abusive manner.

Without limiting the foregoing, all prizes are provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions may not allow limitations or exclusions of liability for incidental or consequential damages or exclusions of implied warranties; therefore, certain limitations may not apply. 9. DISPUTE RESOLUTION

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, or any claim or dispute that has arisen or may arise between the entrant and Sponsor, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules.

Except where prohibited, entrant agrees that:

• any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of New York or the appropriate State Court located in Brooklyn, New York;
• any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and
• under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental, and consequential damages, and any other damages other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

The place of arbitration, if applicable, shall be Brooklyn, New York.

10. PRIVACY POLICY

The information you submit in connection with this Sweepstakes may be used by Sponsor for purposes of administration and fulfillment of the Sweepstakes, and in accordance with Sponsor’s Privacy Policy located at this link (“Privacy Policy Website”). If you are verified as a prize winner, your first name, last initial, city and state may be included in a publicly available winner’s list.

To obtain a list of winner(s), handprint “Baude NY UO Launch Giveaway” along with your first and last name, email address, and complete address on a 3” x 5” card, and mail it to: “Baude, LLC, 90 State St., Suite 700, Office 40, Albany, NY 12207, United States.” Requests must be received within sixty (60) days after the end of the Sweepstakes Period.

14. Consent and Submission Terms

By participating, you acknowledge that you have read, understood, and agree to be bound by the Official Rules of this promotion, meet all eligibility requirements outlined in the Official Rules and understand that your participation in the promotion is subject to these terms.

By submitting an Entry, you agree that your Entry is gratuitous and made without restriction, and that it will not place Sponsor under any obligation other than as stated in these Official Rules. You further acknowledge that Sponsor is free to publish or otherwise disclose the ideas contained in the Entry on a non-confidential basis to anyone, and to use the ideas without additional compensation to you. By accepting your Entry, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, developed by its employees, or obtained from other sources.

By participating, you acknowledge that your Entry may be used at Sponsor's sole discretion, and that Sponsor has no obligation to use or post any Entry you submit. Entries reflect the views/opinions of individual entrants and do not represent the views of Sponsor in any manner.

By submitting a Content Submission, you grant Sponsor and its legal representatives, successors, and assigns the irrevocable, worldwide right in perpetuity to license, sub-license, edit, alter, post, reproduce, publicly display, and publish, in any media (including online), any material uploaded in connection with the Sweepstakes. This right is granted without additional consideration or approvals, and any Content Submission that attempts to restrict this right will not be considered. Each entrant warrants and represents that their Content Submission is original, has not been previously published or won any award, complies with applicable community guidelines and terms on Instagram.com, does not contain any material that defames or infringes upon third-party rights (including patents, copyrights, trademarks, privacy, or publicity rights), and complies with these Official Rules.
